1. Acceptance of Terms

By paying the invoice or making a purchase on this website, you (the «Client») enter into a legally binding agreement with Individual Entrepreneur (FOP) Dmytro Baibakov (D-U-N-S® No: 538407923) (the «Provider»). This act constitutes full and unconditional acceptance of these Terms.

2. Services & Scope

The Provider delivers specialized architectural and analytical services:

  • QLR Audit: A one-time deep-dive diagnostic of the Client’s digital infrastructure. The Audit fee is non-refundable. However, 100% of this amount is credited toward a QLR LITE subscription or Custom Implementation if initiated within 30 days of audit delivery.
  • QLR LITE Package: Access to proprietary algorithm outputs via API for the duration of the paid subscription.
  • Custom Profit Architecture: Bespoke engineering of sales logic. Specific scopes and timelines are defined in individual Work Orders (Annex No. 1).

3. Subscription & Continuity (Managed SaaS)

  • Access: The QLR-Core Engine operates as a managed service. Active subscription is a mandatory requirement for continuous lead filtering and system uptime.
  • Acceptance: Services are deemed fully accepted if no written objection is raised within 5 business days following the delivery of an audit or the end of a billing month.

4. Intellectual Property & «No-Reverse Engineering»

  • Ownership: All rights to the QLR algorithm, methodology, and software code remain the exclusive property of the Provider.
  • License: The Client is granted a non-exclusive, non-transferable license to use the service outcomes as long as the subscription is active.
  • Strict Prohibition: The Client is strictly prohibited from attempting to reverse engineer, decompile, or copy the internal logic or weights of the QLR algorithm. This logic is a protected trade secret (Know-How).

5. Disclaimer & Limitation of Liability

  • Algorithm & Logic: QLR uses a proprietary mathematical scoring engine. While we guarantee technical integrity, the Provider is not liable for the strategic decisions made by the Client based on the generated reports or data outputs.
  • Third-Party Platforms: We are not responsible for disruptions caused by external platforms (e.g., LinkedIn, HubSpot, Make).
  • Liability Cap: The Provider’s total liability is strictly limited to the amount of the last payment received from the Client.
  • No Income or Revenue Guarantee: While the Provider may identify potential opportunities for revenue growth through its audit, forecasts, or algorithm outputs, the Provider makes no representations, warranties, or guarantees regarding actual revenue increases, sales results, ROI, or any other financial outcomes. Such results depend solely on the Client’s execution, market dynamics, sales team effectiveness, competitive landscape, and other factors outside the Provider’s control.

6. Force Majeure & Jurisdiction

  • The Provider is not liable for failures due to war, cyber-attacks, or nationwide infrastructure outages (electricity/internet).
  • All disputes are subject to the jurisdiction of the Provider’s place of registration (Odesa, Ukraine) unless otherwise agreed.
